Minimal-risk systems, including spam filters, AI-assisted code-completion tools and most recommendation engines, face no additional obligations beyond existing product-safety and consumer-protection law, although voluntary codes of conduct are encouraged.
Startups should conduct a self-classification exercise using the EU AI Act’s Annex III list of high-risk use cases. Where a system straddles categories, for instance, a general-purpose model that a customer could deploy in a high-risk context, the likely practical effect will be that vendors need “intended use” restrictions in their licences to manage classification risk contractually. If classification remains uncertain, early engagement with the AI Office Ireland is advisable once it becomes operational.

All AI systems that interact directly with natural persons must include a disclosure mechanism so that users know they are engaging with an AI system. For SaaS products, this means the application’s UI must display an appropriate notice, and the terms of service must describe the role of AI in generating outputs. Acceptable-use policies should prohibit customers from removing or obscuring these disclosures.
The IHREC’s observations on the General Scheme emphasise the importance of transparency not merely as a tick-box exercise but as a substantive safeguard for fundamental rights, particularly in contexts where AI outputs affect individuals’ access to services, employment or credit.
Providers of high-risk systems must implement measures to achieve appropriate levels of accuracy, robustness and cybersecurity. They must also test for and mitigate bias. These obligations translate directly into contract language: performance SLAs should reference accuracy benchmarks, and warranty clauses should address the vendor’s obligations to test for discriminatory outcomes and remediate them within specified timeframes.

The following sample clauses are templates only. They illustrate the type of language that vendors should consider incorporating into new and renewed agreements. “AI System” means any machine-based system that operates with varying levels of autonomy, may exhibit adaptiveness after deployment, and infers, from the inputs it receives, how to generate outputs such as predictions, content, recommendations or decisions that can influence physical or virtual environments, as defined in Article 3(1) of Regulation (EU) 2024/1689.
“Model Update” means any change to the AI System’s underlying model, including changes to model weights, architecture, training data or inference pipeline, that could materially alter the system’s outputs or risk classification.
The Parties acknowledge that the AI System is classified as [high-risk / limited-risk / minimal-risk] as at the Effective Date. If, following a change in applicable law or regulatory guidance, or as a result of the Customer’s deployment of the AI System in a use case not contemplated by the Permitted Purpose, the classification of the AI System changes, the Parties shall negotiate in good faith to amend this Agreement within [30] days to reflect any additional obligations arising from such reclassification. Pending agreement, the Provider shall comply with the higher classification requirements on a reasonable-efforts basis.
The Provider shall maintain, and upon reasonable written notice make available to the Customer and any competent authority, technical documentation for the AI System in accordance with Article 11 and Annex IV of the EU AI Act, including a current model card, training-data provenance records, and validation and testing results. The Customer (or its designated auditor) shall be entitled to conduct or commission an audit of such documentation no more than [once] per calendar year, at the Customer’s cost, upon [20] business days’ prior notice.
All intellectual property rights in the Training Data used to develop the Model shall remain vested in the Provider (or its licensors). The Customer is granted a non-exclusive, non-transferable licence to use the AI System’s outputs solely for the Permitted Purpose. For the avoidance of doubt, the Customer acquires no rights in or to the Model itself. Any data provided by the Customer for fine-tuning purposes shall remain the Customer’s property, and the Provider shall not use such data to train models for third parties without the Customer’s prior written consent.

The Provider shall notify the Customer in writing at least [15] business days before deploying any Model Update that could materially affect the AI System’s outputs, accuracy or risk classification. The Customer may, within [10] business days of receiving such notice, request that the Provider defer the Model Update or, where technically feasible, roll back the AI System to the prior model version. If the Provider is unable to defer or roll back the update due to regulatory requirements, it shall provide the Customer with a written impact assessment and revised technical documentation within [5] business days of deployment.
Each Party covenants that it shall at all times comply with its obligations under the EU AI Act and any implementing legislation in Ireland (including, once enacted, the Regulation of Artificial Intelligence Act) as applicable to its role as a provider, deployer, distributor or importer (as those terms are defined in the EU AI Act). A material breach of this covenant shall constitute a material breach of this Agreement.
The Provider shall maintain in force throughout the Term, and for a period of [24] months following termination, professional indemnity insurance and product liability insurance with a reputable insurer, each with coverage limits of not less than €[amount], covering claims arising from the operation, outputs or failure of the AI System.

AI liability clauses are the single most contested element in AI-related commercial negotiations. Startups, whether acting as vendor or customer, need a clear framework for deciding which risks to accept, which to push upstream, and which to insure against. Early indications suggest that the EU’s developing product-liability framework may impose strict liability for defective AI systems in certain circumstances. Startups should anticipate this trajectory when negotiating. Where a startup is the provider of a high-risk system, it may be commercially necessary to accept a form of strict liability to customers but limit exposure through insurance and aggregate caps. Deployers, by contrast, should resist strict-liability allocations and insist on fault-based liability coupled with a right to claim contribution from the provider.
