CNAD evaluates DASP pre-registration applications within 20 business days and charges an initial registration fee of US $5,475 upon a favourable resolution. Article 36 of the LEAD grants tax exemptions on the value and returns of certain qualifying digital assets a benefit unavailable in most competing jurisdictions. Meanwhile, 2025 reforms to the original Bitcoin Law, published in the Diario Oficial, refined the acceptance and obligation rules, making Bitcoin acceptance voluntary for private merchants while preserving the country’s commitment to digital-asset innovation.

Company formation in El Salvador is a prerequisite for DASP/BSP registration: CNAD requires applicants to be domiciled and legally constituted entities within the country. The following nine steps take a founder from entity selection through to the pre-registration stage with CNAD.

Articles of incorporation (escritura de constitución) and bylaws must be drafted and executed before a Salvadoran notary. Documents should specify the company’s corporate purpose including digital-asset activities to align with CNAD’s scope requirements. Foreign founders forming a branch (sucursal) rather than a new entity must apostille and authenticate the parent company’s constitutive documents.
Every Salvadoran entity must designate at least one legal representative (representante legal). Foreign founders who do not reside in El Salvador commonly appoint a local resident representative or grant a special power of attorney (poder especial) to a Salvadoran attorney to act on their behalf before public registries, the tax authority and CNAD. Nominee-director arrangements are available but should be structured transparently to satisfy CNAD’s beneficial-ownership disclosure requirements.
The CNR handles commercial registration. Founders should submit the notarised constitutive instrument, proof of capital deposit (where required), and identification documents. The CNR’s “Ventanilla Express” programme can process registrations in as little as one business day for qualifying filings. Standard processing takes three to five business days. Registration fees are modest typically under US $200 for the filing itself.
The Número de Identificación Tributaria (NIT) is El Salvador’s taxpayer identification number and is required to operate, invoice and comply with tax obligations. The Ministry of Finance now offers free digital NIT issuance. Foreign signatories must present an apostilled power of attorney. Processing generally takes one to three business days once documents are complete.
If the company will hire employees in El Salvador, founders must register with the Instituto Salvadoreño del Seguro Social (ISSS) and a pension fund administrator (AFP), and obtain a municipal business licence (registro de contribuyente municipal) from the relevant alcaldía. These registrations typically take three to ten business days.
A local corporate bank account is a practical necessity. Banks subject to Superintendencia del Sistema Financiero (SSF) and Banco Central de Reserva (BCR) oversight apply heightened AML/KYC due diligence to crypto-adjacent businesses. Having a clear corporate purpose, an AML policy draft and evidence of CNAD pre-registration can ease the onboarding process.
Before launching digital-asset operations, the company must complete CNAD’s pre-registration process. This requires preparing and uploading governance documents, a detailed business plan, technical security and custody policies, and an AML compliance programme. Ongoing obligations include filing annual financial statements, maintaining an updated beneficial-ownership registry (required by both CNR and UIF), submitting CNAD periodic reports, and ensuring directors’ and shareholders’ registers remain current. Early governance discipline is critical CNAD may audit compliance structures at any time after registration.
The Ley de Emisión de Activos Digitales (Decreto No. 643) defines a Proveedor de Servicios de Activos Digitales (PSAD), commonly known by its English acronym DASP, as any legal entity that offers exchange, transfer, custody, advisory or issuance services for digital assets within or from El Salvador. The CNAD is the sole authority empowered to authorise, supervise and sanction DASPs.

The CNAD initial registration fee stands at US $5,475, payable within 10 days of the favourable resolution. The LEAD authorises CNAD to levy additional supervisory fees; founders should budget for ongoing annual charges. Currency of payment is US dollars, consistent with El Salvador’s dollarised economy.
Every DASP is classified as a “sujeto obligado” under El Salvador’s anti-money-laundering regime. The UIF Instructivo mandates registration with the Financial Investigation Unit, implementation of customer identification and verification protocols, continuous transaction monitoring, and timely filing of suspicious-transaction reports (ROE/SAR). DASPs must also designate a compliance officer and maintain records for the prescribed retention periods.
Realistic end-to-end timing from company formation to operational DASP status is 8 to 16+ weeks. The incorporation phase (Steps 1–7) can be completed in 3–15 business days. The CNAD evaluation phase takes a minimum of 20 business days, but technical clarifications, document cures and security audits commonly extend this by two to six weeks.
Article 36 of the LEAD grants exemptions on the value and returns generated by certain qualifying digital assets. In practice, this means that capital gains derived from the appreciation of registered digital assets may be exempt from income tax for entities operating under CNAD registration. The scope of the exemption is limited: it applies to digital assets as defined under the LEAD, not to all crypto tokens, and it does not override existing obligations on other revenue streams. El Salvador applies a standard corporate income tax rate on worldwide income for resident entities. Value-added tax (IVA) implications for Bitcoin-denominated payments require careful analysis: while goods and services priced in Bitcoin may trigger IVA at the standard rate, the treatment of exchange spreads and transaction fees warrants specialist advice. Territorial rules mean that income sourced outside El Salvador by a resident company may still be taxable, subject to applicable treaties and exemptions.
The 2025 reforms to the Bitcoin Law, published in the Diario Oficial, shifted Bitcoin acceptance from a mandatory to a voluntary basis for private businesses, while retaining the state’s engagement with Bitcoin as a treasury and policy tool. For founders, this means that companies are no longer required to accept Bitcoin as payment, but may do so voluntarily. The reform clarifies the operating environment: Bitcoin treasury holdings are a strategic choice, not a statutory obligation.
Founders should address repatriation of profits (especially for foreign-held parent structures), transfer-pricing documentation where intra-group transactions exist, and the interaction between LEAD-exempt digital-asset returns and other taxable revenue lines such as service fees, SaaS subscriptions and consulting income. Early engagement with tax counsel familiar with CNAD-registered entities is strongly recommended.
